Company Formation

What is this

Incorporation of a private limited (or OPC / public) company through SPICe+ — name reservation, drafting of MOA and AOA, DIN and DSC for directors, and obtaining PAN, TAN, EPFO/ESIC, and bank account as part of the integrated process.

Documents generally required

  1. PAN and Aadhaar of all directors / shareholders
  2. Passport-size photographs
  3. Identity proof: passport / voter ID / driving licence
  4. Address proof: bank statement or utility bill (not older than 2 months)
  5. Registered office proof: utility bill + rent agreement and owner's NOC, or ownership document
  6. Proposed names (two, in order of preference) and business objects
  7. Proposed capital and shareholding pattern
  8. Digital Signature Certificates of subscribers (arranged, if not held)
Note: Name approval is the usual bottleneck — distinctive names clear faster than descriptive or trademark-conflicting ones.

LLP Formation

What is this

Incorporation of a Limited Liability Partnership through FiLLiP — name reservation, DPIN and DSC for designated partners, drafting and filing of the LLP Agreement (Form 3), and obtaining PAN and TAN for the LLP.

Documents generally required

  1. PAN and Aadhaar of all partners
  2. Photographs and identity / address proofs of partners
  3. Registered office proof: utility bill + rent agreement and NOC, or ownership document
  4. Proposed names and nature of business
  5. Capital contribution and profit-sharing ratio agreed between partners
  6. Digital Signature Certificates of designated partners
Note: The LLP Agreement must be filed within 30 days of incorporation — settle contribution and profit-sharing terms before incorporating.

ROC Compliance & Filings

What is this

Annual and event-based filings with the Registrar of Companies — AOC-4 (financial statements), MGT-7/7A (annual return), DIR-3 KYC, ADT-1 (auditor appointment), and LLP Forms 8 and 11 — plus maintenance of statutory registers and minutes.

Documents generally required

  1. Audited financial statements and board's report
  2. Details of shareholders, directors, and changes during the year
  3. Auditor appointment details
  4. Digital Signature Certificates of authorised director / partner
  5. Previous filings and master data access on the MCA portal
Note: ROC late fees accrue per day with no upper cap for many forms — a compliance calendar is the cheapest insurance a company can buy.
